Terms of Service

These Terms of Service (the “Terms”) are a legal agreement between you and Decisive Network, Inc., a Delaware corporation (“Decisive”, “we”, “us”, or “our”), and govern your access to and use of the Decisive website at wemachines.com, the application at app.wemachines.com, and all related features, integrations, and services (together, the “Service”). By creating an account, joining a workspace, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of a team, company, or other organization, you represent that you have authority to bind that organization to these Terms, and “you” refers to both you and that organization.

1. The Service

Decisive is an AI-native workspace for software teams. It brings team chat, tasks, documents, discussions and decisions, voice and video huddles, an AI teammate, and a coding agent that connects to your GitHub repository into a single surface. Features and functionality may change, expand, or be removed over time as the product evolves.

Active development

Decisive is live and under continuous development. Features change, expand, and occasionally get retired, and the Service may be unavailable or interrupted from time to time. Where we make a change that materially reduces a capability your workspace relies on, or that requires action from you, we will give reasonable advance notice.

Service commitments

We do not warrant uninterrupted service, and no software is free of defects. We do, however, make the following binding commitments:

  • Data portability. A workspace administrator may download the workspace's full contents at any time from Settings → Danger Zone, on every plan including the free plan, with no request form and no dependency on us. We will not place export behind a paywall, a support request, or a notice period.
  • Source code ownership. Your code remains in your own GitHub repository. Decisive reads it and proposes changes as pull requests; it does not become the system of record for your source, so disconnecting the integration or terminating the Service carries no data cost to you.
  • Incident notification. Where we become aware of a security breach or a loss of data affecting your workspace, we will notify workspace administrators without undue delay, describe what is known, and set out the steps being taken - including where the cause lies with one of our providers rather than with us.
  • Wind-down. Should we discontinue the Service, or become unable to operate it, we will give a minimum of 60 days' notice and maintain export throughout that period. The same applies if the Service changes hands.

2. Eligibility & accounts

You must be at least 16 years old (or the age of digital consent in your jurisdiction, if higher) to use the Service. You are responsible for maintaining the confidentiality of your account and for all activity that occurs under it.

Decisive accounts are passwordless: you sign in either with a one-time code we send to your email address, or with your Google account. We never ask for or store a password. You agree to provide an accurate email address and to keep your account secure - including the email account or Google account you sign in with. Notify us promptly at [email protected] if you believe your account has been compromised. Sign-in may be protected by a bot-prevention challenge.

3. Workspaces, teams & roles

The Service is organized into workspaces. A workspace may have multiple members, with different roles (such as admin and member). Admins can invite and remove members, manage roles, connect integrations, and configure the workspace. If you create or administer a workspace, you are responsible for the members you invite and for ensuring that everyone with access uses the Service in accordance with these Terms.

Workspace content is shared with the members of that workspace. Decisive is intentionally built around shared, transparent team spaces and does not provide private direct messages or side channels. Do not put information in a workspace that you are not authorized to share with its members.

4. Your content

“Your Content” means everything you and your team submit to the Service - messages, tasks, documents, discussions, comments, file attachments, and any other material. As between you and Decisive, you retain all ownership of Your Content.

You grant Decisive a worldwide, non-exclusive license to host, store, reproduce, transmit, display, and process Your Content solely as necessary to operate, secure, and provide the Service to you and your workspace - including transmitting it to the third-party services described in our Privacy Policy in order to deliver features you use. This license ends when Your Content is deleted, except for residual copies retained in routine backups for a limited period.

You are solely responsible for Your Content and for having the necessary rights to submit it. You represent that Your Content, and your use of it within the Service, does not violate any law or infringe the rights of any third party.

Data protection

Where Your Content includes personal data protected by the EU or UK General Data Protection Regulation, you are the controller of that data and Decisive is your processor. Our Data Processing Agreement governs that processing and forms part of these Terms. You do not need to sign anything for it to apply: it takes effect for every customer on acceptance of these Terms, and it sets out the instructions we act on, the security measures we maintain, the sub-processors we use and how we notify you of changes to them, how we assist with data-subject requests and breach notification, and what happens to Your Content when you leave. You are responsible for having a lawful basis for the personal data your team puts into a workspace, and for telling the people it concerns, as their controller. The Service is not built for special categories of personal data, and protected health information must not be stored in a workspace.

5. AI features

The Service includes AI features powered by third-party large language models, routed through our AI gateway. When you use these features, the relevant content from your workspace is sent to the model's provider to generate a response. By using AI features you authorize this processing.

Decisive provides access to these AI features directly; usage is metered as AI credits.

AI output can be inaccurate, incomplete, or otherwise inappropriate. It does not represent the views of Decisive, and it is not professional advice. You are responsible for reviewing AI output before relying on it or acting on it, and for any decisions you make based on it.

6. GitHub integration & the coding agent

You may connect a GitHub repository to your workspace through a GitHub App installation. By connecting a repository, you authorize Decisive to access it in accordance with the permissions you grant - including reading repository content and metadata, creating branches and commits, and opening pull requests.

The coding agent and build features may clone your repository into a secure cloud environment to run, edit, preview, and propose changes to your code, and may transmit relevant code to AI providers to generate those changes. Changes the agent proposes are delivered as pull requests for your review; you are responsible for reviewing, testing, and merging any code before it is used. You can disconnect the integration at any time from your workspace settings.

7. Voice, video & huddles

The Service offers voice and video huddles, screen sharing, live captions, and a voice AI agent. These features route audio and video through third-party real-time communication providers, and may use third-party speech-to-text and text-to-speech services to produce captions, transcripts, and AI voice responses. You are responsible for obtaining any consent required from other participants before recording, transcribing, or sharing a session.

8. Acceptable use

You agree not to:

  • use the Service for any unlawful, harmful, fraudulent, or infringing purpose;
  • upload or generate content that is illegal, malicious, or that violates the rights of others;
  • attempt to gain unauthorized access to the Service, other accounts, or our or our providers’ systems;
  • probe, scan, overload, disrupt, or interfere with the Service, or circumvent rate limits, quotas, or security measures;
  • reverse engineer, decompile, or attempt to extract source code from the Service, except to the extent this restriction is prohibited by law;
  • use the Service, the AI features, or any integration to build a competing product, or to train a competing machine-learning model;
  • resell, sublicense, or provide the Service to third parties outside your workspace; or
  • misuse AI or automation features to generate spam, abuse, or harmful content.

We may suspend or terminate access that we reasonably believe violates these Terms or that poses a risk to the Service, other users, or our providers.

9. Third-party services

The Service relies on, and integrates with, third-party services (for example, hosting, database, authentication, AI, real-time communication, and source-control providers). Your use of those integrations may also be subject to the third parties’ own terms. We are not responsible for third-party services, and their availability or behavior is outside our control. The third parties we use to provide the Service are described in our Privacy Policy.

10. Billing, subscriptions & refunds

Decisive offers free and paid plans. The terms in this section apply to paid plans. Decisive Network, Inc. is the seller of record for your subscription, and collects and remits applicable taxes where required. Payments are processed by our payment provider, Stripe, which handles the transaction and your payment details; your use of its checkout is also subject to Stripe’s terms.

Plans and charges

Paid plans are priced per seat and may be billed monthly or annually, in advance, in the currency shown at checkout. Annual plans are billed for the full term up front. Prices exclude applicable taxes, which we add and collect where required. Some capabilities may be offered as paid add-ons. By subscribing to a paid plan you authorize us to charge your payment method on a recurring basis until you cancel.

Cancellation

You can cancel your subscription at any time from your workspace settings. When you cancel, your subscription remains active and you keep access to paid features until the end of the billing period you have already paid for. After that, the subscription will not renew and your workspace will revert to the free plan (or lose access to paid features), and no further charges will be made.

No refunds

Except where a refund is required by applicable law, all payments are non-refundable. We do not provide refunds or credits for partial billing periods, unused time, seats, add-ons, or usage, or for periods in which you did not use the Service. Cancelling stops future renewals but does not refund amounts already paid for the current period. Where a refund is required by law, we handle it directly.

Price changes

We may change our prices. If a price change affects your subscription, we will give you reasonable advance notice, and the new price will apply from your next billing period. If you do not agree to a price change, you may cancel before it takes effect.

11. Intellectual property

The Service, including its software, design, and content (excluding Your Content), is owned by Decisive and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service in accordance with these Terms. We reserve all rights not expressly granted.

12. Feedback

If you send us feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or obligation to you. This helps us improve the product without complicating your rights in Your Content.

13. Termination

You may stop using the Service at any time, and you may request deletion of your account or workspace by contacting us at [email protected]. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service. On termination, your right to use the Service ends, and we may delete Your Content in accordance with our Privacy Policy. Provisions that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

14. Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that AI output, code changes, or transcripts will be accurate or reliable. Nothing in this section limits the commitments we make in “Our commitments to you” above.

15. Limitation of liability

To the maximum extent permitted by law, Decisive and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of (or inability to use) the Service. To the maximum extent permitted by law, our total aggregate liability arising out of or related to the Service will not exceed the greater of (a) the amounts you paid us for the Service in the twelve months before the event giving rise to the liability, or (b) USD 100.

16. Indemnification

You agree to indemnify and hold harmless Decisive and its operators from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party rights.

17. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

18. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles, and you agree to the exclusive jurisdiction of the state and federal courts located in Delaware, except where applicable consumer-protection law gives you the right to bring proceedings in your local courts.
